That's a good question, and actually it's not contradictory, because a “fixed dividend rate” does not equal a “mandatory payment obligation”.

STRD's 10% fixed dividend means that if the Strategy board declares a payout, the calculation standard is based on a 10% annual rate on a $100 face value, i.e., theoretically $10 per year, about $2.5 per quarter.

But non‑cumulative means that if the board does not declare a payout in a given quarter, that quarter’s dividend is simply lost and will not be made up later.

The official Strategy explanation states that STRD’s dividend is not mandatory; it is paid only when the board announces it and the company has legally available funds, and if announced it is paid quarterly.

Because STRD is non‑cumulative, Strategy has no obligation to pay any quarter’s dividend that was not announced in advance, and it will not accrue interest or additional dividend on unpaid amounts.

The simplest example:

STRD face value $100, fixed dividend 10%.

Normally one quarter should be:

$100 × 10% / 4 = $2.5

If the board announces a payout, $2.5 is paid for that quarter.

If the board does not announce a payout for that quarter, the dividend for that quarter is $0, and the $2.5 will never be made up later.

This is also why STRD carries higher risk.

@PhyrexNi STRD has a fixed annual dividend of 10% paid quarterly, and the dividend is non‑cumulative. Isn't that contradictory? A fixed interest but it can be skipped and not accumulated. Is there some rule here?
